Scope and Acceptance

These Terms & Conditions (“Terms”) apply to access to and use of MiniITXBoard.com and to quotations, samples, products, engineering services, and related support supplied by Shenzhen MiniITXBoard Co., Ltd. (“MiniITXBoard,” “we,” “us,” or “our”), unless a separate written agreement states otherwise.

By using the website, submitting an inquiry, accepting a quotation, placing a purchase order, paying an invoice, receiving products, or using our services, you agree to these Terms on behalf of yourself and, where applicable, the business or organization you represent.

Our products and services are primarily offered for business, engineering, integration, OEM, ODM, research, and institutional use. A person accepting these Terms for an organization confirms that they have authority to bind that organization.

Contract Documents and Order of Priority

The documents governing a transaction are read together. If they conflict, the following order of priority applies unless the parties expressly agree otherwise in writing:

1. A signed master agreement, supply agreement, NDA, or other negotiated contract.
2. An accepted statement of work, engineering specification, or change order.
3. Our written quotation, pro forma invoice, and order acknowledgment.
4. Approved drawings, configuration records, validation criteria, and product documentation.
5. These Terms.
6. General website content, marketing material, or informal correspondence.

Additional or conflicting terms contained in a customer purchase order, supplier portal, or standard form do not modify the transaction unless we expressly accept them in writing.

Product Information, Specifications, and Availability

We aim to present product information accurately, but website text, images, diagrams, performance examples, availability statements, and preliminary specifications may be updated as platforms, component supply, firmware, and product revisions change.

Product photographs may show optional components or a different revision. Compatibility, operating temperature, power input, processor support, memory capacity, storage, I/O, expansion, thermal behavior, operating-system support, and regulatory status must be confirmed for the exact ordered configuration.

We may correct errors, withdraw an offer, or revise information before order acceptance. A substitution or product revision affecting agreed form, fit, function, validation status, or regulatory requirements will be handled under the applicable change-control process.

Quotations, Pricing, Taxes, and Payment

A quotation is valid only for the period stated in that quotation and is subject to component availability, exchange-rate conditions, order quantity, configuration, validation scope, and delivery assumptions. Website prices, where shown, are not binding quotations.

Unless expressly stated otherwise, prices exclude freight, insurance, customs duties, import fees, bank charges, withholding taxes, sales taxes, value-added taxes, and other government charges. The customer is responsible for charges associated with importation and local compliance.

Payment currency, deposit, balance schedule, credit terms, and accepted payment method are stated in the quotation or invoice. We may suspend engineering, procurement, production, shipment, warranty processing, or further deliveries when payment is overdue or credit conditions materially change.

Orders, Acceptance, Changes, and Cancellation

A purchase order is an offer to buy. It becomes binding only when we issue written acceptance, an order acknowledgment, a pro forma invoice accepted by payment, or begin performance with the customer’s authorization.

We may request clarification of product model, revision, quantity, delivery schedule, operating environment, configuration, labeling, packaging, testing, documentation, and compliance requirements before accepting an order.

Order changes require written agreement and may affect price, NRE, material commitments, tooling, validation, lead time, and delivery schedule. After components are purchased, customization begins, or production is released, an order may be non-cancellable or subject to cancellation charges covering committed material, labor, engineering, supplier liabilities, and reasonable close-out costs.

Customer Requirements and Integration Responsibility

The customer is responsible for providing complete, accurate, and timely requirements. These may include:

• Processor workload, memory, storage, display, networking, serial, USB, GPIO, CAN, and expansion requirements.
• Input voltage, transient conditions, power budget, grounding, battery or vehicle-power conditions, and connector constraints.
• Ambient temperature, airflow, fanless operation, heatsink limits, enclosure dimensions, vibration, shock, humidity, contamination, and ingress conditions.
• Operating system, driver, BIOS, security, TPM, watchdog, auto-power-on, boot, remote-management, and update requirements.
• Target market, certification, labeling, export, industry, safety, cybersecurity, and lifecycle requirements.

The customer remains responsible for validating the final system, including the board together with the enclosure, power supply, cooling, peripherals, cabling, storage, memory, expansion devices, operating system, application software, and deployment environment.

Engineering guidance does not replace the customer’s design review, risk assessment, certification, regulatory approval, safety analysis, or production validation.

Custom Engineering, NRE, Samples, and Approval

Custom work may include BIOS configuration, firmware settings, I/O changes, connector mapping, voltage input, thermal hardware, mechanical adaptation, branding, labeling, packaging, documentation, test fixtures, component selection, or a new board design.

Non-recurring engineering (“NRE”), tooling, fixtures, certification, third-party testing, sample builds, and special procurement are charged as stated in the applicable quotation or statement of work. Unless expressly agreed otherwise, these charges compensate for work performed and do not transfer ownership of our pre-existing technology, design methods, libraries, know-how, or manufacturing processes.

Approval of drawings, samples, BIOS behavior, labels, packaging, or validation results authorizes us to proceed on that basis. Changes requested after approval may require additional cost and schedule.

Lead Times, Component Supply, and Product Lifecycle

Lead times are estimates unless expressly guaranteed in a signed agreement. They may change because of component allocation, supplier delay, customer approval, engineering changes, test capacity, logistics, customs, force majeure, or other conditions outside our reasonable control.

Forecasts help planning but are not binding purchase commitments unless the parties agree otherwise. We may require deposits, non-cancellable material commitments, scheduled releases, or last-time-buy decisions for constrained or end-of-life components.

Where supplier information is available, we use commercially reasonable efforts to communicate material product-change notices, component discontinuance, revision changes, and end-of-life conditions. Exact notice periods, replacement options, redesign support, and last-time-buy availability depend on the affected platform and upstream suppliers.

Shipping, Delivery, Title, and Risk

Shipping method, delivery point, Incoterm, insurance, title transfer, and risk of loss are stated in the applicable quotation, order acknowledgment, or invoice. They should not be inferred from website content or prior shipments.

Delivery dates are estimates unless expressly agreed as firm. Partial shipments may be made when commercially reasonable. The customer is responsible for providing accurate consignee, import, tax, and delivery information and for obtaining permits, licenses, and customs clearance required in the destination country.

Visible shipping damage, missing cartons, or quantity discrepancies should be recorded with the carrier and reported promptly with photographs, packing information, and shipment references.

Inspection, Acceptance, Returns, and Cancellation Rights

The customer must inspect products within the period stated in the order documents or, if no period is stated, within a commercially reasonable period after delivery. A claim should identify the model, serial or lot number where available, quantity, observed condition, test method, and supporting evidence.

No return may be made without a return material authorization (“RMA”) or other written authorization. Unauthorized returns may be refused. Returned products must be packaged to prevent ESD, moisture, mechanical, and shipping damage.

Custom-configured, customer-labeled, modified, programmed, special-order, prototype, or non-standard products are generally non-returnable except for a verified defect or an express written agreement. Acceptance of visible or functional conformity does not waive a valid claim for a latent defect discovered later within the applicable warranty period.

Limited Warranty, Technical Support, and RMA

The warranty period, covered products, remedy, support scope, and any service-level commitment are those stated in the applicable quotation, order acknowledgment, product documentation, support policy, or signed agreement.

Unless the applicable order documents state otherwise, warranty service is limited to repair, replacement, rework, credit, or refund of the verified defective product, at our reasonable option and subject to applicable law.

Warranty does not cover failure or damage caused by:

• Incorrect voltage, polarity, wiring, grounding, power transients, or an unsuitable power supply.
• Insufficient cooling, blocked airflow, incorrect heatsink installation, operation outside specified limits, or enclosure-related thermal conditions.
• ESD, contamination, liquid, corrosion, vibration, shock, misuse, accident, unauthorized repair, modification, overclocking, or physical damage.
• Incompatible memory, storage, peripherals, expansion cards, drivers, operating systems, third-party firmware, or software.
• Normal wear, consumable items, cosmetic conditions, or issues not reproducible under the agreed test method.

RMA analysis may require the complete system configuration, power details, logs, photographs, BIOS version, operating system, reproduction steps, and affected samples. No-fault-found units, customer-induced damage, or out-of-warranty service may be chargeable.

BIOS, Firmware, Software, and Third-Party Components

BIOS, firmware, utilities, drivers, reference software, source-code examples, and documentation are licensed, not sold, unless a written agreement expressly states otherwise. Use may be subject to separate license terms from processor, chipset, operating-system, open-source, or other third-party providers.

A BIOS or firmware change may affect boot behavior, security, performance, peripherals, power management, compatibility, certification, or validation status. The customer must validate updates in the intended system before deployment.

We do not guarantee that every future operating system, kernel, driver, peripheral, security update, or third-party software release will remain compatible with an earlier hardware configuration unless this support is expressly included in a written agreement.

Intellectual Property, Customer Materials, and Confidentiality

Website content, product designs, schematics, layouts, firmware, documentation, trademarks, graphics, photographs, software, test methods, manufacturing data, and related materials are owned by MiniITXBoard or the applicable licensor and are protected by intellectual-property laws. No rights are granted except those necessary to evaluate, purchase, integrate, or use the supplied product as authorized.

Each party retains ownership of intellectual property it owned before the project. Ownership and permitted use of newly developed deliverables, custom tooling, source files, firmware, design data, and documentation must be expressly stated in the applicable statement of work or written agreement.

The customer confirms that it has the right to provide logos, files, specifications, software, data, designs, and other materials supplied to us. The customer grants us the limited rights necessary to perform the requested work.

Confidential information is handled under the applicable NDA. If no NDA applies, each party should use reasonable care to protect information clearly identified as confidential, except where disclosure is required by law or the information is already public through no breach of duty.

Regulatory Compliance, Export Controls, and Intended Use

Certifications, declarations, marks, or compliance statements apply only to the exact product, revision, configuration, accessories, firmware, and conditions identified in the relevant documentation. Integration into a finished system may require additional testing or certification by the customer.

The customer must comply with applicable import, export, re-export, sanctions, end-use, end-user, product-safety, environmental, cybersecurity, and industry-specific requirements. Products may not be supplied, transferred, or used where prohibited by applicable law.

The customer is responsible for product selection, redundancy, fail-safe design, cybersecurity, maintenance, monitoring, and operational controls appropriate to the intended deployment.

Website Use, Accounts, Privacy, and Third-Party Links

You may use the website for lawful evaluation, inquiry, purchasing, support, and informational purposes. You may not attempt unauthorized access, interfere with site operation, introduce malicious code, scrape the site in a manner that impairs service, misrepresent identity or authority, or use content unlawfully.

You are responsible for maintaining the confidentiality of account credentials and for activity performed through your account. Notify us promptly of suspected unauthorized use.

Personal information is handled according to our Privacy Policy. Third-party websites, embedded services, software, and links are governed by their own terms and privacy practices. We are not responsible for third-party content or availability.

Disclaimers, Limitation of Liability, and Indemnity

Except for warranties expressly stated in the applicable order documents and rights that cannot lawfully be excluded, the website, technical guidance, products, samples, and services are provided without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

To the maximum extent permitted by law, neither party is liable to the other for lost profit, lost revenue, loss of use, lost data, business interruption, recall cost, substitute equipment, reputational loss, or indirect, incidental, special, punitive, exemplary, or consequential damages.

To the maximum extent permitted by law, our aggregate liability arising from a claim will not exceed the amount actually paid to us for the affected products or services giving rise to that claim. This limitation does not apply where liability cannot legally be limited, including where applicable for fraud, willful misconduct, or death or personal injury caused by negligence.

The customer will defend and indemnify MiniITXBoard against third-party claims arising from customer specifications or materials, unauthorized modification, unlawful use, use outside documented conditions, or integration into a high-risk application without the required written approval, except to the extent caused by our breach, negligence, or willful misconduct.

Force Majeure, Suspension, and Termination

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, fire, flood, war, terrorism, civil disturbance, labor disruption, cyberattack, utility or network failure, government action, export restriction, customs delay, carrier failure, component shortage, supplier allocation, or transportation interruption.

The affected party will use commercially reasonable efforts to reduce the impact and resume performance. Delivery schedules will be extended for the period reasonably affected. If disruption continues, the parties should discuss allocation, alternative components, revised delivery, or termination of the affected portion of the order.

We may suspend or terminate website access, engineering work, production, shipment, or support for material breach, overdue payment, unlawful activity, sanctions or export risk, security risk, insolvency, or failure to provide required approvals or information, subject to applicable law and agreed cure rights.

Governing Law, Updates, Notices, and Contact

Governing law and dispute resolution are as stated in the applicable signed agreement or accepted order documents. If no governing-law provision is stated, these Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules, and disputes are submitted to the competent courts of Shenzhen, Guangdong, unless mandatory law requires otherwise.

If any provision is held unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. Rights and obligations that by their nature should survive— including payment, confidentiality, intellectual property, warranty limitations, and liability provisions—remain effective after completion or termination.

We may update these Terms to reflect changes in the website, business processes, products, law, or commercial practice. The updated version will show a revised “Last updated” date. Changes do not retroactively alter an already accepted order unless agreed in writing or required by law.
